PropertyBridge/MONEYGRAM® “YOU COULD WIN $20,000 TO PAY YOUR RENT” SWEEPSTAKES OFFICIAL RULES

1.     NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN A PRIZE.   A purchase or payment does not improve your chance to win.  Void where prohibited.  Subject to all federal, state and local laws.

2.     CAN I PARTICIPATE?  To be eligible, an entrant must:  1) be a legal resident of one of the 50 United States or the District of Columbia, 2) be a resident of PropertyBridge’s Client Properties (for a complete list of participating Client Properties go to www.propertybridge.com/sweepstakes_list) and 3) have reached the age of majority in his/her State of residence at the time of entry. Employees of PropertyBridge, Inc. (the “Sponsor”) and MoneyGram Payment Systems, Inc., property management clients, and their retail agents, parent, subsidiaries, affiliates, advertising agencies and any other company involved with the design, production, execution or distribution of this Sweepstakes, including but not limited to the independent sweepstakes organization, and any person domiciled with and/or an immediate family member (spouses and parents, siblings and children and their spouses) of any such employee (collectively, “Affiliated Parties”), are not eligible to enter or win. Sponsor reserves the right to verify to its satisfaction the eligibility of any entrant.

3.     HOW DO I ENTER?   The Sweepstakes begins 12:01 am Eastern Time (“ET”) on February 1, 2008 and ends at 11:59 PM ET on July 31, 2008 (the “Sweepstakes Period”). There are two ways to enter the Sweepstakes.

• Automatic Entry:  Every time you make a rent payment of any amount using the PropertyBridge Payment Platform during the Sweepstakes Period you will be automatically entered into the Sweepstakes.  The PropertyBridge Payment Platform includes rent payments made online (through the resident or community manager portal), in person rent payment (at any MoneyGram agent location using ExpressPayment service), or via the phone using PropertyBridge’s automated phone system.  Rent payments made by paper check are excluded from the sweepstakes. Cash payment entry times (via a MoneyGram agent location) are subject to agent hours of operation.  Entries will be deemed received when entered and processed in the Sponsor’s system.

• To Enter Without Purchase: On a 3.5” x 5” card hand print your name, complete address including your city, state, zip code, daytime phone number including area code and the name of the property management company to which you would most likely make a payment through the PropertyBridge Payment Platform and mail to: PropertyBridge/MoneyGram You Could Win $20,000 To Pay Your Rent Sweepstakes, P.O. Box 4056, Grand Rapids, MN 55730-4056.  All mail-in entries must be post-marked no later than the last day of the month for the drawing for which it is eligible for entry (February 29th, March 31st, April 30th, May 31st, June 30th and July 31st) and received by the 14th of the following month to be included in that month’s drawing or by July 31, 2008 and received by August 14, 2008   (the “Sweepstakes Closing Date”) to be included in the Grand Prize drawing.  Each entry must be hand-printed and mailed separately; no facsimiles or mechanically reproduced entries accepted. All mail-in entries must contain sufficient postage and are limited to one (1) entry per person, per day. Proof of sending will not be deemed to be proof of receipt by Sponsor; responsibility for receipt of entry rests solely with the entrant.

All Entries:  For all entries, the eligible entrant is the individual making the rental payment or the individual named on the alternate entry postcard.  All entries become the property of the Sponsor and will neither be acknowledged nor returned.  The Sponsor is not responsible for late, lost, stolen, misdirected, delayed, destroyed, illegible or postage due entries or mail, or computer error, electronic or technical malfunction or jumbled phone wires.  By entering the Sweepstakes, entrants agree to abide by these Official Rules and the decisions of the independent sweepstakes organization, which will be final and binding in all matters relating to this Sweepstakes. 

4.     WHAT PRIZE CAN I WIN?: There are a total of nineteen (19) prizes. ONE (1) GRAND PRIZE: One (1) Grand Prize winner will receive Twenty Thousand Dollars ($20,000.00). The Grand Prize will be issued in the form of a check payable to the name on the Affidavit & Liability/Publicity Release.  The Grand Prize will be mailed or couriered to the Grand Prize winner’s address, as indicated on the Affidavit & Liability/Publicity Release described in Paragraph 5 below, within 30 days of Sponsor’s receipt of the qualifying signed Affidavit & Liability/Publicity Release (subject to verification).  SIX (6) FIRST PRIZES: Six (6) First Prize winners will each receive Five Hundred Dollars ($500.00). Each First Prize will be issued in the form of a check payable to the name on the Affidavit & Liability/Publicity Release.  First Prizes will be mailed or couriered to the winners’ address within 30 days of Sponsor’s receipt of the qualifying signed Affidavit & Liability/Publicity Release (subject to verification).  SIX (6) SECOND PRIZES: Six (6) Second Prize winners will each receive Two Hundred Fifty Dollars ($250.00). Each Second Prize will be issued in the form of a check payable to the name on the Affidavit & Liability/Publicity Release.  Second Prizes will be mailed or couriered to the winners’ address within 30 days of Sponsor’s receipt of the qualifying signed Affidavit & Liability/Publicity Release (subject to verification).  SIX (6) THIRD PRIZES: Six (6) Third Prize winners will each receive One Hundred Dollars ($100.00). Each Third Prize will be issued in the form of a check payable to the name on the Affidavit & Liability/Publicity Release.  Third Prizes will be mailed or couriered to the winners’ address within 30 days of Sponsor’s receipt of the qualifying signed Affidavit & Liability/Publicity Release (subject to verification).  The total value of the Grand Prize is $20,000, First Prizes is $3,000, Second Prizes is $1,500, Third Prizes is $600; total value of all prizes is $25,100. No prize is transferable or substitutable.   Each winner is responsible for all applicable federal, state, or local taxes and any other cost associated with or payable in respect of a prize or the acceptance thereof.  The Sponsor reserves the right to report such information to federal, state, or local taxing authorities as may be required by law.

5.     HOW DO I WIN A PRIZE?  For each of the six months of the Sweepstakes Period, one 1st, 2nd and 3rd prize winner will be selected.  Potential monthly 1st, 2nd, and 3rd prize winners will be selected by random draws held on or about the 15th of each month beginning March 15, 2008 and ending August 15, 2008(“Draw Dates”) by an independent judging organization, from among all eligible automatic entries received by 11:59 ET on the last day of the month and mail-in entries post-marked by the end of the previous month and received by the 14th of the following month. All non-winning entries from any month will be carried over to the following month. The potential Grand Prize winner will be selected by random draw on or about August 31st, 2008 (“Grand Prize Draw Date”) by an independent judging organization, from among all eligible automatic and mail-in entries received by the Sweepstakes Closing Date.  Odds of winning monthly 1st, 2nd and 3rd prizes depends on the total number of eligible entries received.  Odds of winning the Grand Prize depend on the total number of entries received by the Sweepstakes Closing Date. Method of entry does not affect odds of winning.   Each potential winner will be contacted by mail or telephone within 10 days of the Draw Date and Grand Prize Draw Date. If a potential winner cannot be contacted by mail or telephone within 10 days of the Draw Date or Grand Prize Draw Date, the entry will be disqualified and another entrant may be randomly selected. Limit one (1) prize per person or household per month.  The potential prize winners will be required to sign an Affidavit of Eligibility and Liability/Publicity Release (“Affidavit & Liability/Publicity Release”) confirming compliance with these Official Rules, acceptance of the prize as awarded, and releasing the Sponsor, the Affiliated Parties and their respective shareholders, directors, officers, employees, agents, representatives, successors and assigns from any liability including, without limitation, liability for personal injury, damage or loss in connection with the prize awarded or this Sweepstakes. The signed Affidavit & Liability/Publicity Release must be returned to the Sponsor, within 10 days of the date received by the potential winner (the date of such receipt as indicated on the certified mail return receipt), or prize will be forfeited and an alternate winner may be selected. By accepting a prize, each prize winner releases Sponsor, its parent, subsidiary and Affiliated Parties, the advertising and promotion agencies of each, and the officers, directors, employees and agents of each from any and all liability, damages, claims or causes of actions of any kind whatsoever (however named or described) for injuries, damages, or losses to person or property which may be sustained in any connection with the receipt, enjoyment or use of the prize or participating in this Sweepstakes and grant permission to Sponsor, its parent, subsidiary and Affiliated Parties, the advertising and promotion agencies of each to use their names, ages, cities, states, and photographs or other likeliness for advertising and promotional purposes without additional compensation.   

6.     LIMITATION ON LIABILITY:  No liability is assumed for illegible or incomplete entry information or any human error which may occur in the processing of the entries in this Sweepstakes.  If, in the Sponsor’s opinion, there is any suspected or actual evidence of tampering with any portion of the Sweepstakes, or if technical difficulties compromise the integrity of the Sweepstakes, or an unauthorized intervention or other cause beyond its control affects the proper administration, play or conduct of the Sweepstakes, the Sponsor reserves the right, at its sole discretion, to (a) suspend or cancel the Sweepstakes in part or its entirety; (b) void any suspected entries, and/or (c) conduct a random drawing to award the prizes using all the entries received prior to suspension or cancellation.  Sponsor is not responsible for any typographical or other error in the printing of these Official Rules or any materials associated with the administration of the Sweepstakes or the announcement of prizes.

7.     DISPUTE RESOLUTION:  Each participant agrees that:  (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of Minnesota; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will a participant be permitted to obtain awards for, and each participant hereby waives all rights to claim punitive, incidental, or consequential damages, any other damages other than actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and the Sponsor in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Minnesota or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Minnesota.

8.     PRIVACY:  The Sponsor respects entrants’ right to privacy. The Sponsor will only use the information provided by entrants to conduct and promote the Sweepstakes.  Information participants provide to Sponsor will be used to communicate with participants in relation to this Sweepstakes as well as for other purposes as described in Sponsor’s Privacy Policy.  Winner’s name, city and state of residence may be posted on the Sponsor’s website, on each of Sponsor’s Client Property applications, and in press releases.

9.     WINNERS LIST: To obtain the names of the winners, send a self-addressed, stamped envelope to be received by October 31,2008 to: PropertyBridge/MoneyGram “You Could Win $20,000 To Pay Your Rent” Sweepstakes Winners List, P.O. Box 1150, Grand Rapids, MN 55745-1150.

10.   SPONSOR:  This Sweepstakes is sponsored by PropertyBridge, Inc., a Moneygram Company, 505 14th Street, Suite 900, Oakland, CA 94612.  Sponsor reserves the right to cancel the Sweepstakes at any time and substitute another promotion in its place.
